End-User License Agreement

This End-User License Agreement ("Agreement") is between you ("User," "Shopper," or "Vendor") and Rodeo Rose Market ("Company," "we," "us," or "our") and governs your access to and use of the Rodeo Rose Market website and application (the "App"). An account is required to use any part of the App. By creating an account or otherwise using the App, you agree to be bound by this Agreement.

1. Eligibility

You must be at least 13 years old to create an account. If you are between 13 and 18, you may only use the App with a parent or guardian's permission.

2. License Grant

Subject to your compliance with this Agreement, Rodeo Rose Market grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App for its intended purpose: browsing and attending Rodeo Rose Market events as a shopper, or applying for and managing a vendor booth as a vendor.

3. Accounts & Security

You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. To protect accounts from unauthorized access, we may temporarily lock sign-in after repeated failed password attempts; you can always regain access via the "Forgot password" flow.

4. Vendor Applications & Fees

Vendors who apply to sell at a Rodeo Rose Market event agree to the specific terms, agreements, and fees presented during the application process for that event, which may include a one-time vendor application processing fee where applicable. Acceptance of a vendor application is at Rodeo Rose Market's sole discretion. Booth fees and any associated invoices are billed and processed through our accounting provider, and are subject to the payment terms stated on the invoice.

5. User-Submitted Content

If you submit a photo, Instagram handle, or caption through the App (for example, a market photo submission), you confirm you own or have permission to share that content, and you grant Rodeo Rose Market a non-exclusive, royalty-free license to use, reproduce, and display it — including reposting it on Rodeo Rose Market's Instagram and other marketing channels with credit to the handle you provided. You may contact us to request removal of previously submitted content from future use.

6. Third-Party Services

The App integrates with third-party services, including QuickBooks Online for invoicing and payment processing, and email providers for account and transactional notifications. Your use of those integrated services is also subject to that provider's own terms of service.

7. Acceptable Use

You agree not to misuse the App, including by attempting to gain unauthorized access to other accounts or data, uploading unlawful or infringing content, or using the App for any purpose other than participating in or supporting Rodeo Rose Market events.

8. Objectionable Content, Reporting & Blocking

There is no tolerance for objectionable content or abusive users in the App. You may not post or share content that is harassing, hateful, threatening, sexually explicit, discriminatory, fraudulent, or otherwise abusive. Users can report content and block other users directly in the App (look for the Report and Block options on channel messages and vendor profiles). We review every report and will act within 24 hours, which may include removing the content and suspending or permanently removing the responsible user's account. To report a concern outside the App, email trinity@rodeorosemarket.com.

9. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law.

10. Limitation of Liability

To the fullest extent permitted by law, Rodeo Rose Market shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the App.

11. Indemnification

You agree to indemnify and hold Rodeo Rose Market harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of this Agreement or misuse of the App.

12. Termination

We may suspend or terminate your access to the App at any time, with or without cause, including for violation of this Agreement.

13. Governing Law

This Agreement is governed by the laws of the State of Arizona, without regard to its conflict-of-law principles.
